Terms of Sale
Version CGV-2026-v5. Last updated: 29 September 2026.
Article 1 : Purpose, scope and hierarchy of documents
These General Terms of Sale (“Terms of Sale”) govern the subscription, by the Client, to a paid subscription to the SEIDO platform published by UMUMENTUM SRL (“SEIDO”), Rue de Grand-Bigard 14, 1082 Berchem-Sainte-Agathe, Belgium, BCE 0775.691.974, VAT BE0775691974.
The Terms of Sale complement the General Terms of Use (“Terms of Use”), to which the Client has previously agreed. Subscribing to a paid subscription entails the express and unreserved acceptance of these Terms of Sale. The Terms of Sale, the Terms of Use and the Data Processing Agreement (“DPA”) together form the general terms of the subscription agreement; for agreements concluded from their entry into force, they replace the previous Subscription General Terms.
Hierarchy of contractual documents. In the event of conflict, the documents apply in the following decreasing order of priority: (1) the signed Particular Conditions; (2) the Data Processing Agreement (DPA), for everything relating to personal data; (3) the General Terms of Sale (Terms of Sale), for the commercial part; (4) the General Terms of Use (Terms of Use), for the usage part; (5) the policies (Privacy, Cookies). The same order of priority is repeated, word for word, in the three documents.
When the Client signs a subscription agreement (Particular Conditions), these Terms of Sale, the Terms of Use and the DPA are provided to the Client as annexes to that agreement, in their dated version, before signature, and the Client acknowledges receipt of them by a separate statement; the annexed version is binding between the Parties. The agreement is formed by the Particular Conditions and these three annexes, which form an integral part of it.
Article 2 : Description of the service, plans, unit and overage
SEIDO is a rental management and intervention orchestration platform for property managers. The detailed functional description is set out in the Terms of Use.
Plans. The subscription plans are Essentiel, Pro and Max. The current unit prices of each plan are shown on the pricing page at the time of subscription. There is no free plan and no free trial period.
Billing unit: the unit. The subscription price is calculated per unit and per period, according to the plan subscribed. Billing is annual, paid in advance, unless otherwise agreed in the Particular Conditions.
Definition of a unit. A unit means any rental unit managed by the Client in the Service and subject to a current lease or intended for rental: apartment, house, room, commercial space, office, garage, parking space, cellar or any other property rented separately. A unit counts as one unit as soon as it is subject to a separate lease, regardless of its surface area or nature. A building comprising several units rented separately counts as many units as there are units.
Parking spaces. By way of derogation, five (5) garages, boxes or parking spaces count as one (1) unit: each is invoiced at one fifth of the unit price of the plan subscribed.
Counting, cap and overage. The number of units invoiced is the number stated in the Particular Conditions. The Service limits the creation of units to that number. Any increase is requested from within the application; SEIDO responds with an amendment to the Particular Conditions, stating the amount due for the current period at the contractual unit price, and the additional units are activated upon receipt of payment of the corresponding invoice. The Service continuously measures the number of active units. If, notwithstanding that limit (data migration, import, reduction of the subscribed number at renewal), the number of active units exceeds the number subscribed for more than thirty (30) consecutive days without having been regularised by amendment, SEIDO invoices the excess units at the contractual unit price, pro rata to the remaining period; the units so invoiced are added to the subscribed number until the end of the period. Any reduction in the number of units takes effect at the next renewal and does not give rise to a refund for the current period.
Article 3 : Prices, taxes and price revision
Prices are stated in euros. For consumer clients, prices are displayed inclusive of all taxes (VAT included at the applicable rate), in accordance with the Belgian Code of Economic Law. For professional clients, prices are stated exclusive of tax, VAT being added at the applicable legal rate.
Contractual price. The applicable unit price is the catalogue price in force at subscription or, where the Particular Conditions so provide, the contractual price agreed therein by way of derogation from the catalogue price. The unit price subscribed is locked until the end of the paid period.
Revision. Prices are reviewed annually. Any new price applicable to the renewal period is notified to the Client on a durable medium at least sixty (60) days before the expiry date. Failing notification within that period, the unit price of the elapsed period is renewed by operation of law. One-off discounts, commercial gestures and deductions granted for a given period are not renewed and do not constitute an acquired right.
Article 4 : Payment terms
Payment is made by bank transfer to SEIDO’s account stated on the invoice, quoting the structured reference shown on it, at no cost to the Client.
The invoice for the onboarding mission, where one is provided for, is issued and payable upon signature. Subscription invoices are issued at the start of each period, for the first period on the effective date defined in Article 6, and are payable within thirty (30) days of their date of issue, without that period exceeding sixty (60) days between businesses. The Client agrees to receive invoices in electronic format only; any invoice is deemed received on the day it is sent by e-mail. SEIDO issues its invoices in structured electronic form where Belgian regulations so require between VAT-registered businesses.
Formation of the agreement online. For consumers, the subscription confirmation button bears the words “order with obligation to pay” (or an equivalent unambiguous wording), in accordance with Article VI.46 §2 of the Code of Economic Law; failing this, the consumer is not bound. SEIDO confirms the agreement on a durable medium (summary e-mail including the Terms of Sale, the Particular Conditions where applicable, and the invoice) within a reasonable time after conclusion.
Where additional services managed by third parties are included in the subscription, they may be invoiced separately.
Article 5 : Late payment
Professional clients. In the event of late payment, the amounts due bear interest by operation of law and without prior notice at the rate set by the Act of 2 August 2002 on combating late payment in commercial transactions, plus a fixed indemnity of forty (40) euros for recovery costs, without prejudice to the reimbursement of reasonable recovery costs incurred beyond that amount. SEIDO reserves the right not to claim them, without such forbearance constituting a waiver.
Consumer clients. The mandatory regime of Book XIX of the Code of Economic Law applies: a first free reminder, a waiting period of fourteen (14) calendar days from that reminder before any interest or indemnity, and an indemnity capped according to the statutory brackets.
Access restriction. In all cases, failing settlement within fourteen (14) days of the reminder, SEIDO may restrict the Client’s account to read-only access until full payment of the amounts due; the Client retains access to its data and the ability to export it.
Article 6 : Term, effective date, renewal and termination
Effective date. Where the agreement provides for an onboarding mission (Article 17), the subscription takes effect on the acceptance date of that mission; failing acceptance within ninety (90) days of signature for want of items to be provided by the Client, the subscription takes effect by operation of law on the ninetieth day. Without an onboarding mission, the subscription takes effect on the date stated in the Particular Conditions or, for an online subscription, on the day of subscription and first payment.
Initial term. The subscription is entered into for the initial term stated in the Particular Conditions (twelve (12) months by default). That term is a firm commitment; no refund is due for a period that has begun, without prejudice to the right of withdrawal, the legal guarantee of conformity, cases of discontinuation or breach attributable to SEIDO, and the consumer’s mandatory rights.
Renewal (professional clients). At the end of the initial term, the subscription renews for successive periods of the same length, according to the following mechanism:
- sixty (60) days before the expiry date, SEIDO sends the Client a renewal notice on a durable medium, stating the rate applicable to the next period and the deadline to object; failing such notice within that period, the unit price of the elapsed period is renewed;
- the Client may object to the renewal in writing, at the Provider’s notice address stated in the Particular Conditions (support@seido-app.com), up to and including the expiry date;
- on the expiry date, the renewal invoice is issued; its payment within fourteen (14) days constitutes renewal;
- failing payment within that period and after a reminder, access to the Service is restricted to read-only, data export remaining possible; the account is deactivated thirty (30) days later and the agreement ends at its term, without compensation on either side. No paid renewal is imposed on a Client who has not paid.
The Client retains access to the paid features until the end of the paid period.
Termination for breach. Either Party may terminate the agreement by operation of law, in writing and without compensation, in the event of a serious breach by the other Party of its obligations, not remedied within fifteen (15) days of a written formal notice sent to the notice address (Article 15). Services already performed remain due; the end of the agreement is then governed by Article 14.
6.1 Provisions specific to consumers (B2C). In accordance with Article VI.91 of the Code of Economic Law: (a) the tacit renewal clause is highlighted and states the deadline to object to renewal; (b) after a tacit renewal, the consumer may terminate the agreement at any time, free of charge, subject to a notice period not exceeding two (2) months, this right also applying to the annual subscription once renewed; (c) for annual subscriptions, SEIDO informs the consumer, on a durable medium, at least fifteen (15) days before the expiry date, of the upcoming renewal and of the right to object. The renewal notice sent sixty (60) days before the expiry date satisfies that information requirement.
Article 7 : Right of withdrawal (consumer clients)
The consumer Client has fourteen (14) days to withdraw without giving any reason from the conclusion of the agreement, in accordance with Articles VI.47 et seq. of the Code of Economic Law.
Waiver for immediate performance. As the service is provided immediately after subscription, the consumer Client who asks to benefit from the service before the end of the withdrawal period acknowledges and accepts:
- to expressly request that performance begins during the withdrawal period;
- to lose the right of withdrawal once the service has been fully performed, or to owe an amount proportionate to the service provided if withdrawing during performance.
The start of performance during the withdrawal period is subject to an express request by the consumer, collected by means of a separate, unticked checkbox at subscription, worded: “I request that the service starts immediately and I acknowledge that I lose my right of withdrawal once the service has been fully performed” (Art. VI.53, 1° and 13° CEL). The consumer exercises the right of withdrawal by an unambiguous statement sent to support@seido-app.com, or by using the model form in Annex A.
Article 8 : Provision, availability and maintenance
The service is made available by online access from the effective date of the subscription. Where the agreement provides for an onboarding mission, access to the Service is opened upon payment of the onboarding invoice, for the purposes of migration and training, without that opening causing the subscription term to start running. SEIDO makes every effort to provide a continuous service (24/7), without guaranteeing the absence of interruption (maintenance, hosting provider failure, force majeure), in accordance with the Terms of Use.
Availability. SEIDO aims for a monthly availability of the Service of 99.5%, measured excluding scheduled maintenance windows, force majeure and any failure attributable to the Client, its equipment or its internet access provider. This objective is a best-efforts commitment; failure to meet it does not give rise to a penalty, without prejudice to Article 11 and to the consumer’s mandatory rights.
Scheduled maintenance. Maintenance operations likely to interrupt the Service are carried out, as far as possible, outside Belgian business days and hours, and are announced to the Client at least forty-eight (48) hours in advance, by e-mail or by a message within the Service. An urgent security intervention may be carried out without notice; the Client is informed as soon as possible.
Incidents. SEIDO publishes the status of the Service, ongoing incidents, their history and the measured monthly availability on a public status page, the address of which appears in the footer of the website and within the Service; planned maintenance windows are declared there and excluded from the calculation. In the event of a major incident affecting access to the Service, SEIDO additionally informs the Client of its occurrence, progress and resolution by e-mail or by a message within the Service. Security incidents affecting personal data are notified in accordance with Article 8 of the DPA.
Changes. SEIDO develops the Service (fixes, improvements, new features) without those changes substantially reducing, during the paid period, the essential features of the plan subscribed; the removal of a feature is announced at least thirty (30) days in advance. The Client receives updates at no additional cost.
Support. The support service is available on Belgian business days, by e-mail at support@seido-app.com and from within the Service, under the conditions of the plan subscribed.
Article 9 : Obligations of the Client
The Client undertakes to:
- provide accurate, complete and up-to-date information at subscription and throughout the term of the agreement, in particular its identity, its capacity as a professional or a consumer, its company number and its notice address, and to report any change without delay;
- make available, within the agreed time limits, the data, documents and access required for the onboarding mission (Article 17) and, more generally, for the performance of the Service; any delay postpones the agreed deadlines accordingly and does not affect the amounts due becoming payable;
- use the Service in accordance with its purpose, the Terms of Use (in particular Article 9, Acceptable use) and the regulations applicable to its activity, including the rules governing property management and leases;
- keep its credentials confidential, activate the security measures offered by the Service, in particular multi-factor authentication where available, and report any unauthorised use of its account without delay;
- inform the tenants, owners, contractors and other third parties it invites into the Service of the terms of use applicable to them and, in its capacity as data controller, have the legal bases required for processing their data, in accordance with the DPA;
- ensure that it holds the rights to the data, documents and content it imports into the Service, and hold SEIDO harmless against any third-party claim in that respect;
- pay the amounts due on the agreed due dates;
- cooperate in good faith with SEIDO, in particular by appointing a contact person and by responding within a reasonable time to requests necessary for the performance of the agreement.
The Client remains solely responsible for the management of its portfolio, for the decisions it takes on the basis of the information in the Service and for its obligations towards its own clients and counterparties: SEIDO provides a tool and does not take the Client’s place (Terms of Use, Article 2).
Article 10 : Right of use, intellectual property and commercial reference
Right of use. The agreement grants the Client a personal, non-exclusive and non-transferable right to use the Service, limited to the term of the agreement and to the number of units subscribed, for the purposes of its property management activity. The Service, its components, its databases, its trademarks and its documentation remain the exclusive property of SEIDO or its licensors (Terms of Use, Article 13). The Client shall not reproduce, decompile, substantially extract or make available to third parties outside the intended use.
Client data. The data the Client imports into or generates in the Service remains its full and entire property; SEIDO holds only the rights over it that are necessary for the performance of the agreement, under the conditions of the DPA.
Commercial reference. SEIDO may mention the name and logo of the professional Client in its commercial references (website, presentations, materials), without describing its data or its uses, unless the Client objects in writing, at any time, at SEIDO’s notice address. For a consumer Client, such a mention requires prior and express consent (Terms of Use, Article 13).
Article 11 : Warranties and liability
11.1 Legal guarantee of conformity (consumers). The consumer Client benefits from the legal guarantee of conformity of the digital service provided for in Title VIbis of Book III of the former Civil Code (Act of 20 March 2022 transposing Directive (EU) 2019/770): subjective and objective conformity of the service, provision of the necessary updates and, in the event of a lack of conformity, the right to have it brought into conformity, to a price reduction or to termination of the agreement. The limitations and exclusions of liability below apply without prejudice to this mandatory legal guarantee.
11.2 Limitations. SEIDO is bound by a best-efforts obligation. Its liability under the agreement is limited to direct damage and capped at the amount invoiced to the Client during the twelve (12) months preceding the event giving rise to liability. This limitation does not apply in the event of fraud, gross negligence, harm to life or physical integrity, non-performance of an essential obligation of the agreement, damage that the law does not allow to be excluded or limited, or the consumer’s mandatory rights. The Parties’ reciprocal indemnity and the other provisions relating to liability are set out in the Terms of Use (Articles 8 and 11); in the event of conflict, this Article prevails.
Article 12 : Confidentiality and force majeure
Confidentiality. Each Party treats as confidential the non-public information of the other Party of which it becomes aware in the context of the agreement, including the financial terms of the Particular Conditions, and does not disclose it to any third party without the prior written consent of the other Party, except to its advisers, its subcontractors bound by an equivalent obligation and the authorities that lawfully require it. This obligation survives for three (3) years after the end of the agreement. It does not apply to information that has entered the public domain through no fault of the receiving Party, nor to information it lawfully held before its disclosure.
Force majeure. Neither Party is liable for a failure resulting from force majeure, meaning an event that is unforeseeable, irresistible and beyond its control, such as a widespread failure of telecommunication networks, a major failure of a hosting provider, a large-scale cyberattack, a decision of the authorities or a natural disaster. The Party prevented informs the other without delay and endeavours to limit the effects; the affected obligations are suspended for the duration of the impediment. If the event lasts more than thirty (30) days, either Party may terminate the agreement by operation of law, in writing and without compensation, services already performed remaining due and amounts paid in advance for services not provided being refunded pro rata.
Article 13 : Personal data
The processing of personal data is governed by the Privacy Policy and, for the data the Client enters or imports into the Service, by the Data Processing Agreement (DPA): the Client acts there as data controller and SEIDO as processor within the meaning of the GDPR. Production data is hosted in the European Union; some technical subcontractors operate outside the European Union under the safeguards of Chapter V of the GDPR, the list and transfer bases of which are set out in Annex 2 of the DPA.
Article 14 : Reversibility and end of the agreement
At the end of the agreement, for whatever reason, the Client has thirty (30) days to export its data from the Service, in a structured, commonly used and machine-readable format (CSV or spreadsheet for data, documents in their original format). During that period, access to the Service is maintained in read-only mode, without charge. At the end of that period, the data is deleted from the active systems, and backups are purged within a maximum of ninety (90) days, in accordance with Article 9 of the DPA, except where a legal retention obligation applies.
Outgoing migration assistance. On written request from the Client made before the end of that period, SEIDO may provide assistance with outgoing migration (assisted extraction, specific format, transfer to another system); this service is subject to a separate quote, based on time spent.
Survival. The end of the agreement does not affect the obligations which, by their nature, survive it: payment of the amounts due, confidentiality (Article 12), warranties and liability (Article 11) and the fate of the data (DPA).
Article 15 : Assignment, notices and general provisions
Assignment. SEIDO may assign or transfer the agreement, in whole or in part, to any entity succeeding it in the operation of the Service, in particular in the event of a merger, demerger, contribution or transfer of a business line; the Client is informed in writing at least thirty (30) days before the effective date, continuity of the Service and of these terms being ensured. The Client may not assign the agreement or the rights arising from it without SEIDO’s prior written consent, which may not be refused without legitimate reason.
Notices. Any notice under the agreement, including the renewal notice, an objection to renewal, a formal notice and a termination, is validly given by e-mail to the notice addresses stated in the Particular Conditions: for the Provider, support@seido-app.com, its sole notice address; for the Client, the address stated in the Particular Conditions or, failing that, that of its account. Each Party reports any change of address without delay; a notice sent to the last address communicated is deemed received on the business day following its sending.
Electronic signature. The Parties acknowledge the validity and evidential value of the electronic signature affixed via the signature provider chosen by SEIDO, in accordance with Regulation (EU) No 910/2014 (eIDAS), as well as of the online acceptance provided for in Article 4.
Entire agreement and amendments. The Particular Conditions, these Terms of Sale, the Terms of Use and the DPA constitute the entire agreement of the Parties on its subject matter and supersede any prior exchange. Any amendment to the Particular Conditions is made by a written addendum signed by both Parties. SEIDO may update these Terms of Sale for renewal periods: the new version is notified together with the renewal notice, at least sixty (60) days before the expiry date, and applies to the next period failing an objection to the renewal; the annexed version remains applicable to the current period.
Severability and waiver. The nullity or unenforceability of a clause does not affect the validity of the others, the Parties replacing it with a valid clause of equivalent effect. The fact that a Party does not rely on a breach by the other does not constitute a waiver of the right to rely on it later.
Article 16 : Governing law, jurisdiction and mediation
These Terms of Sale are governed by Belgian law; the reference language is French. Failing an amicable settlement, any dispute falls within the exclusive jurisdiction of the courts of the judicial district of Brussels (Belgium), French-speaking chambers, without prejudice to the protective rules applicable to consumers.
Amicable settlement. Before any action, the Parties seek in good faith an amicable solution; the Client sends its complaint to support@seido-app.com, and SEIDO responds within a reasonable time.
Consumer mediation. In accordance with Article XVI.27 of the Code of Economic Law, the consumer Client may, in the event of an unresolved dispute, refer the matter to the Consumer Mediation Service (Boulevard du Roi Albert II 8, box 1, 1000 Brussels, https://consumerombudsman.be), also mentioned in the Legal Notice.
Article 17 : Onboarding mission
Purpose. Where the Particular Conditions so provide, the onboarding mission aims to make the Service operational on the Client’s portfolio: takeover of the history, configuration and training of users.
Price. The price of the mission is a fixed price, determined by the tier corresponding to the number of units stated in the Particular Conditions: up to 100 units, 1,000 euros excl. VAT; from 101 to 300 units, 1,500 euros excl. VAT; from 301 to 600 units, 2,000 euros excl. VAT; from 601 to 1,000 units, 3,000 euros excl. VAT; above 1,000 units, on quotation. For this calculation, five (5) garages, boxes or parking spaces count as one (1) unit, rounded up to the next whole unit. It is payable on signature and is non-refundable once the migration has started. It is invoiced independently of the subscription and is not deducted from it, except for a commercial gesture expressly agreed in the Particular Conditions for the first period only.
Deliverable. At the end of the mission, all sections of the Service are populated with the Client’s data and history, and the Client’s team is able to operate the Service independently on its portfolio. The deliverable includes:
- Properties: buildings, units, attached documents;
- Contacts: owners, tenants, contractors, with their contact details;
- Leases: current agreements, dates, rents, charges, indexations, rental guarantees;
- Finance: opening balances, rent and charges history over the last twelve (12) months, supplier agreements, bank connection or CODA import configured;
- Operations: ongoing interventions taken over, contractor directory established;
- Configuration: users and roles, document templates, notification rules and, for the Pro and Max plans, e-mail connection and assistant instructions;
- Training: one onboarding session for the team and one (1) month of support from the start of the migration.
Prerequisites incumbent on the Client. The Client provides its data in a usable format (export from its current software, structured spreadsheet, or read access to its system), appoints a single contact person and provides the necessary access (e-mail inbox, bank accounts, documents). Any delay in making these items available postpones the deadlines accordingly.
Acceptance criterion. The mission is deemed performed on the date of the acceptance meeting during which the Client validates the conformity of the data taken over, and at the latest thirty (30) days after the end of the support period in the absence of a written reservation from the Client. That acceptance date is the effective date of the subscription (Article 6). The acceptance meeting is subject to the settlement of any sum that has fallen due.
Out of scope. The following are excluded and subject to a separate quote: manual entry of data not provided in structured form (paper documents or scanned PDFs that cannot be processed automatically), takeover of history beyond the last twelve (12) months, specific developments, non-standard third-party integrations and the takeover of additional portfolios acquired after signature.
